Providing proactive legal assistance and advice on various legal issues such as commercial contracts, regulatory, food law, Intellectual property, employment and governance
Advising on minimal liability and legal exposure to the business
Prepare, maintain and review invitations, agendas ,minutes of the Board of Directors and General Assemblies of various operating companies.
Prepare and confirm procure proxies, submission of dividend resolutions and financials to JAFZA, DIFC.
Responsible of all corporate and company law related activities including the management of all statutory administration work
Responsibility to organize and manage the AGMs and to deal with each situation where the Company owns the majority or minority stake due to specific reasons in existing and future JVs.
Ensuring that the legal documents and other contractual documents are effectively drafted, reviewed and interpreted
Advising and ensuring the business in compliance with the applicable laws and regulations
Liaising with network of external counsels when needed to adequately comply with national law and practice and following up relevant legislative developments. Keep himself/herself well-informed of all Commercial/Corporate Laws of the countries under coverage
Review and approve the products labels from a food law perspective.
Supervising, researching and analyzing implication of case law, legislation, and regulatory matters that affect the company and reporting them back to the manager
Follow-up on renewals and maintain copies of Trade Licenses, Commercial Registries, permits and licenses
Effectively participating and contributing in considering and accomplishing the Legal Department objectives in realizing the Company’s strategic business targets
Perform any other responsibility/accountability that might be delegated from the center and/or the manager
Qualifications, Skills and Experience:
Hold a Law Degree & Bar License
At least five to seven years’ experience either as in house counsel (within a multinational company) or private practice (in law firm)
